Terms of Use

1. Definitions

a) “Agreement” means your entire Membership Agreement, including these Terms of Use.
b) “Fees” means all membership fees, charges, and any other costs and expenses that you are required to pay to Work Nicer arising from your use of Services or otherwise under this Agreement.
c) “Work Nicer” and “Nicer Corporation” means Nicer Corporation and will be referred to as “Work Nicer”, “we”, “us” and “our”.
d) “Work Nicer Parties” includes Work Nicer and its agents, owners, members, and employees.
e) “Outpost” means any Work Nicer location at which you access and use the Services.
f) “Services” include your membership with Work Nicer, allowed use of office community, studio and equipment use, desk area, workstations, tables, office equipment, chairs, internet connectivity, use and access to any community areas, printers, administration or concierge services, and other resources and services made available to you under your selected level of member services.
g) “Standards” mean the conduct expected of members and rules, applicable to your membership, including those in “Standards” below, that make coworking in our community efficient, effective and beneficial for all members. The Standards also include the rules set out by the landlord of the Outpost building.
h) “Effective Date” means the execution date of this Agreement and “Start Date” means the earlier of the day you start Use of Services or the date indicated on your Membership Agreement.
i) “Use of Services” means your access or participation in membership, and your use in any way of Work Nicer, Services, or an Outpost.
j) “Member” includes yourself, your team members or employees, agents, guests and invitees as may be applicable, also referred to as “you” and “your” in this Agreement.

2. Parties and Authorized Users

This Agreement is between Work Nicer and the Member. If the Member is a corporation, this Agreement is between Work Nicer, and both the corporation and its representative. The corporation and its representative are liable, jointly and severally, for all obligations arising under this Agreement, regardless of whether invoices are only issued to one.
Only those individuals connected by you to an active subscription or membership in the Work Nicer app will be entitled to the Services provided with your membership and you are responsible for maintaining the accuracy of your team at all times. We reserve the right to remove any person from the app at any time and we reserve the right to limit the number of persons, subscriptions or memberships based on membership type at our sole discretion.

3. Nature and Goal of Agreement

Work Nicer was created to build and uplift a coworking community by providing all members with certain Services. Members select the bundle of Services offered by Work Nicer for a fee. This Agreement does not create a landlord/tenancy relationship but a prepaid usage membership agreement to use the selected bundle of Services on a monthly, casual, or otherwise defined basis. By joining Work Nicer, you agree to the Standards for the community. The goal of a community such as Work Nicer is to help all members to succeed, which is why being considerate of each other, playing well together, and following the Standards is so important. If one of us doesn’t follow the Standards, it affects all of us, and it is also a breach of your deal with Work Nicer – not cool!

4. Community

Work Nicer believes in the skills, talents, capabilities, and generosity of Work Nicer Members. Work Nicer shows the world that a collaborative culture can succeed where cut-throat competitiveness fails. Work Nicer encourages members to get creative, be responsible, take risks, and share your stories and successes. So, by being a part of the Work Nicer Community, you agree that we can share your information, such as your success stories, from time to time.

5. Standards

Not to sound like your parents, but you understand that you will be responsible for the consequences of your actions. Work Nicer and its members, including you, agree to uphold the following Standards. Similarly, sometimes Work Nicer’s building landlords have specific requirements at the Outpost where you are accessing the Services, and these can change from time to time. Any questions about this Agreement or any Standards covered here (or not), should be addressed by email to [email protected].
a) Keep things tidy. Make yourself comfortable but respect the Outposts and leave them as you find them. If you move things, then return them to their original spot. Coffee, beverages, and food keep you going through your day – they rock. Work Nicer provides mugs, cups, serveware, and flatware so you can consume said things! Keep the Outpost and community tidy by putting these in the dishwasher when finished and unloading clean dishes when needed. Remember, if you don’t do it, the next person must – that’s not nice.
b) Be considerate. The common areas in the Outpost are for everyone. Laugh and enjoy the vibrant community but be sure to allow others to get work done. A phone call that will only take you a minute or two and will not disrupt your fellow coworkers is okay for the common areas, but if it is going to take any longer or will be particularly enthusiastic, please use a quiet area – the private Work Nicer phone booths are there so you and your fellow coworkers can have some privacy and avoid the mental oddity of hearing half of a conversation. Generally, if someone has their headphones on, please respect their privacy. Work Nicer is not a library, and collaboration is encouraged, but this is a workplace, at the end of the day.
c) Be Nice. Work Nicer has zero tolerance for harassment of members, guests or Work Nicer team members. Members or guests found in violation of this will be sanctioned or expelled from the Outpost at our sole discretion. So, just be nice.
d) Absolutely no sexual harassment. Sexual harassment of any kind will not be tolerated. Members or guests found to be in violation of this will be sanctioned or expelled from the Outpost at our sole discretion.
e) Other people’s information. You will not use, reproduce, upload, make available, or keep, data, lists, images, software or other material or information which infringes Work Nicer or another’s rights, or is protected by intellectual property laws where you don’t own or license such rights; This also means you won’t attempt to gain access to any computer systems or networks of Work Nicer (beyond general web access), or attempt to obtain any materials or information not intentionally made available to all members.
f) Spamming. You will not use Work Nicer for contests, pyramid schemes, chain letters, junk email, direct marketing, spamming or similar annoying behaviour.
g) Saying bad things. You will not defame, disparage, abuse, harass, threaten or otherwise violate the legal rights (such as privacy and publicity) of Work Nicer or others.
h) Inappropriate Material. You will not post, distribute or disseminate inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information.
i) Guests. Guests are always welcome. Feel free to invite friends or guests for lunch, a quick meeting, or just to say hello. However, guests are required to check-in at the entrance on arrival and must adhere to appropriate Work Nicer conduct. You also might need to get them a guest pass. Please check the current guest policy on the Work Nicer app. You should check these regularly because we can (and do) change things from time to time and there might be a small cost associated with your guests’ visit. To be fair to the Work Nicer community, Work Nicer may in its sole discretion require a guest to get a membership if such a guest visits regularly or spends a significant amount of time at Outposts.
j) Dependent lifeforms. Work Nicer loves pets and children, and while members should make Work Nicer their home, they should also remember Outposts are professional work environments. Some of the communities allow pets and some do not (same with children), so it is best to check with the Work Nicer crew before bringing either (two legged or four legged!) to Outposts. Work Nicer may still request you to remove them at any time and you agree to comply.
k) Floating Desks. Floating desks are for all members and filled on a first come basis daily. Bring everything you’ll need for the day, but please take your belongings with you at the end of the day. None of the floating desks belong to anyone, unless otherwise indicated by the Work Nicer Team.
l) Dedicated Desks. Dedicated desks are yours to make your own. Except for Work Nicer’s right to access a dedicated desk at any time, a dedicated desk will only be occupied by you during the time you choose to have your membership include these Services, so feel free to decorate and make your dedicated desk welcoming to you. Please keep your dedicated desk tidy and refrain from marking or destroying your dedicated desk in any way.
m) Private Offices. Private office Services are areas to make your own. Except for Work Nicer’s right to access a private office at any time, this area will only be occupied by you during the time you choose to have your membership include these Services, so feel free to bring in your own decorations and make your private office welcoming to you. Please refrain from marking or destroying office contents in any way, or otherwise causing damage to your office.

n) Substantial changes. You may make more substantial changes to your dedicated office or desk such as painting or installing that over-the-top chandelier, but only on the following conditions:

i) you discuss your plans with us and we give our consent (which we may withhold in our sole discretion);
ii) the changes are non-structural and reversable;
iii) you use contractors directed by us, or that are reasonably acceptable to us;
iv) you will be liable for the costs of reversing them when you no longer use the office.
o) Food. The refrigerator is primarily for storing food for same day consumption, beverages, and some occasional leftovers from events or meetings. Work Nicer disclaims all responsibility should your food be appropriated by some-hungry-one else. If food is older than one week, it will be thrown out – container and all – cutthroat we know, but no one likes mold. Please take home your food and containers so we can keep the fridge smelling clean. A clear fridge also means more room to keep beer and supplies stocked, which is very important!
p) Alcohol. Speaking of beer, Work Nicer does have alcohol at some Outposts for occasional, member-only and responsible use. However, Work Nicer does not tolerate intoxication and disclaims all responsibility for your use of alcohol at Outposts. Providing drinks to minors will result in an immediate termination of membership. It is also illegal and you will be responsible for any fines or outcomes that result from this improper conduct.
q) Non-residence. Work Nicer understands that some days the workday can extend into a late night, so we invite members to take advantage of their 24/7 membership, if needed. However, under no circumstances is sleeping at Work Nicer allowed. Hard working entrepreneurs also need to work hard at living a healthy lifestyle, which means going home for a proper night’s rest.
r) Booking facilities. Meeting rooms and drop in booths, big and small, are for meetings with clients and fellow members, or when you need them for conference calls, but are otherwise not for solo use. All rooms must be booked prior to use through the Work Nicer app. Please use these facilities whenever needed but refrain from booking/hogging them for inordinate amounts of time or frequency.
s) Extra conveniences. There are plenty of unlimited services that Work Nicer provides from time to time for all members’ reasonable use. It is understood that these services are offered as a benefit of membership and are not a right. Work Nicer, in its sole discretion may limit access to these items or charge a fee for them, particularly if you start using them excessively or abusing this perk.
t) Illness. If you are ill, or generally have the flu or cold symptoms, or are aware of having potentially been exposed to someone with a communicable disease, you need to stay home and rest. To protect all members, please do not come to the community during this time. Keep those germs away and take care of yourself!
u) Security and access. Work Nicer strives to have a safe, clean, and tidy community. Work Nicer tracks all attendance at Outposts using a variety of technologies including, but not limited to, the Work Nicer app, video surveillance, access control systems, internet access systems and intrusion systems. All members understand and agree to this monitoring and tracking. All members also contribute to the building security by ensuring all reasonable measures are taken to safeguard the Work Nicer buildings, members, and members’ possessions. At no time should security locks be bypassed or left in an open position and external doors should never be propped open.
v) IT Safety. You will not upload or use files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of Work Nicer or another member.
w) Nothing unlawful. You agree not to use Work Nicer for any purpose that is unlawful, prohibited, or that could damage, disable, or impair any of Work Nicer’s property, or keep other members from using Work Nicer’s property, or that would hurt Work Nicer as an ongoing business or the businesses of other members.
x) Work Nicer brand. Except as we may expressly agree, you may not use Work Nicer’s brand or indicate an association or affiliation between Work Nicer and yourself in any way.

6. Communication

All Work Nicer employees and members have access to the channels set up by Work Nicer through one or more messaging apps from time to time. This includes a communication platform that Work Nicer uses to post announcements and updates about the Community, the Outposts, events, and more. The Work Nicer team is a big fan of this method of communication and so, for members, it is a great way to engage directly with anyone at Work Nicer. More formal matters such as changes to your Services or termination of your membership must please be communicated per the Notices section below.

7. Complaints

Work Nicer believes communication fixes all things, so, openly welcomes feedback and concerns regarding the improvement of Work Nicer and the experience of its members. That said, kindness is key. You must refrain from making defamatory or disparaging comments about Work Nicer or Work Nicer’s members. While Work Nicer believes its members can resolve member to member concerns politely, professionally, and independently, the team is available to help and talk about it, if needed.

8. Acknowledgement about Premises

You acknowledge that some or all of the Outposts are or may be part of another building or complex and you agree to abide by any rules and regulations applicable to tenants, visitors, or guests of that building or complex, and you will conduct your activities in a manner that minimizes disruption to the building or complex. You must comply with such rules and regulations, even if they conflict with the way Work Nicer usually does things.

9. Desks & Offices

Work Nicer is growing and may face changes in demand from time to time. As a result, you may be required to move to a different desk or office in the same Outpost. Similarly, if an Outpost is closed, or if capacity is exceeded at an outpost and we must re-organize some of our members, we may move your specific Services to another Work Nicer outpost. Should we require you to move desk, office or location, we will do our best to give you a heads up in advance and to provide you with similar facilities and Services to what you enjoyed before. Please note that we cannot promise that you will receive precisely similar facilities and Services.

10. Fees

Work Nicer collects Fees for Services and amounts you must pay to us under this Agreement through direct bank account billing or credit card. Payment may be made by another method with our approval, but please note that additional charges such as credit card, wire or similar fees may apply. If payment is not made on time, you might end up paying more because Work Nicer can charge you late fees (and nobody wants that!). You agree to pay interest at a rate of 24% per annum on any amounts overdue under this Agreement until they are paid. Work Nicer also might decide, at its sole discretion, to terminate this Agreement or pause access to some or part of your Services, the Outposts, or app if payment is not made or is late.
For monthly memberships, an invoice for monthly Fees for Services will typically be issued to you in advance of each month and charged about five days later. As an example, an invoice will be issued to you on or about January 15 and your membership Fees for the month of February will be collected on or about January 20. If you believe you have been billed in error, you should contact Work Nicer before disputing the charge with your bank (billing issues are usually easy to resolve).
Services that are not under a monthly membership or are per-use or per-day items are charged in advance. If your monthly member agreement does not start at the beginning of a month, Work Nicer will charge you all fees due on a pro-rated basis.
You acknowledge that the Fees for Services stated in this Agreement are as at the date of this Agreement and you accept that Work Nicer may increase the Fees (or any of them) by up to 10% annually.
In addition to annual increases, Work Nicer may otherwise increase Fees (or any of them) from time to time by notice to you, but you have the option in such case to terminate (pursuant to the terms of this Agreement) any of the Services for which the Fees are so increased that you are subscribed for. If you do not notify us within 1 month, you will be deemed to have accepted such non-annual increase in Fees.
Subject to Work Nicer’s agreement, and the termination provisions of this Agreement, should you decrease the Services you are subscribed for, you may change the Services for which you are subscribed from time to time by notice to us. Any such changes will be reflected in subsequent invoices as they become effective.

11. Account Credit

At the start of your membership or at any time after, Work Nicer may charge you an additional amount equal to or greater than your regular monthly fees or membership that is held by us as a non-refundable credit to your account. The account credit is not a deposit refundable to you at the end of your membership. At termination, you may request us to apply the account credit to any Services you used but have not yet paid for. Since it is not a deposit, we don’t pay interest on the account credit, but it does ensure that you and Work Nicer part ways cleanly.
We may or may not decide to also apply this account credit to any painting, cleaning, repair or restoration, or other damages you might have caused to the Outpost, in our sole discretion.
If there is any credit leftover or unused on your account for any reason at the end of your membership, we hold onto this for you as a credit you can apply against future Work Nicer Services. Any credit you have not used after 12 months will unfortunately be forfeit.

12. Term

This Agreement will be effective on the Effective Date and ends when terminated in accordance with this Agreement. For monthly Services memberships, this Agreement automatically renews itself on a month-to-month basis after the initial term, unless terminated under the terms of this Agreement.

13. Termination

a) Termination by Work Nicer. Work Nicer can terminate this Agreement at any time for convenience by giving you 1 months’ notice, if, in its sole discretion it sees fit to do so. You will still be required to pay for all past due amounts and Services up to the date of the termination and Work Nicer can still exercise its rights to collect payment.
If you are in breach of this Agreement, including the Standards, or you do or attempt to do any of the things forbidden by this Agreement, then we may, at our sole discretion, suspend or terminate your membership and access to Outposts immediately. If we suspend your membership in these circumstances, you will still be liable for Fees during the suspension period, despite not having access to the Services during the period of suspension. If we terminate your membership in these circumstances, you will still be liable for Fees pursuant to the notice periods in section 14(b) below, despite not having access to the Services from the date of termination, and for any damages you cause to Work Nicer, its property, or to its other members, and Work Nicer will be entitled to retain any credit on your account and apply it towards unpaid Fees and damages Work Nicer incurred due to your actions.
b) Termination by Member. You may terminate this Agreement at the end of the initial term or any subsequent renewal term, by giving us 3 calendar months’ written notice except in the following circumstances:
i) if the total fees for all your memberships with Work Nicer exceed $5,000 per month, you must give us 6 calendar months’ notice, or such shorter notice period we may agree to in our sole discretion.
The required notice period will start to run from the last day of the month in which you give us notice and you will not be entitled to any proration with respect to Fees. For example, if a member gives us notice of termination on August 15, the notice period will start to run from September 1, and the member will owe Fees due for the entire month of August and the subsequent notice period.
c) Removal of Property. Prior to the termination or expiration of this Agreement, you will remove all your property from the Outpost. Anything left after termination or expiration will be considered abandoned, regardless of what it is and Work Nicer will be entitled to dispose of any property remaining on the Outpost without any obligation to store, protect, prevent damage to, or return such property, and you waive any clams or demands regarding such property or Work Nicer’s handling of such property. You will be responsible to pay any fees and costs we incur to have the property removed.
d) Mail Handling. It is your responsibility for arranging to have your mail and packages forwarded to your new address or elsewhere prior to expiration or termination of this Agreement. If we still receive your mail or packages after that, we will charge you the then-current Virtual Office membership fee to hold your mail and packages. If you ask that we forward them to your new address, we will do so for 50% of the then-current Virtual Office membership fee, plus postage. You authorize us to charge such fees to the last payment info we have on file. We are not responsible if you do not get something or we don’t send it along though.
e) Disengagement. You agree to otherwise update your contact details, addresses and website as of termination or expiration of this Agreement, and remove references to Work Nicer from your website and business materials.

14. Confidences

As a Work Nicer Member, you may be exposed to Work Nicer Confidences, meaning information (such as business information, trade secrets and business operational information, technology, customers and prospects, and other secret stuff) disclosed by Work Nicer or members of Work Nicer and their guests (including through your keen observation) that is confidential or proprietary in nature and simply should not be known by others. You agree to keep confidential and not to disclose or use Work Nicer Confidences (both during and after your membership), you understand that they remain the exclusive property of whomever disclosed them, and you don’t acquire any rights to such Confidences. The Work Nicer Confidences do not and have not entered the public domain simply because such Confidences appear on messaging or other apps, including the Work Nicer app, used internally by members. If there are any problems or questions regarding this, please ask the Work Nicer team.

15. Non-Solicitation

You agree that during the term of your membership and for 1 year after termination of this Agreement, you will not directly or indirectly without our consent:
a) employ, solicit or retain the services of any of our employees or independent contractors, or attempt to do that, or encourage others to do that;
b) induce or encourage any Work Nicer Employee or independent contractor to leave our employment or service, or encourage others to do that; or,
c) induce or attempt to induce any person or business to reduce or cease its business with us, or encourage others to do that.
You acknowledge that Work Nicer would not have entered into this Agreement without your agreement to the above, and that the above restrictions are reasonable and necessary to protect Work Nicer’s business interests. You further agree that your breach of the above will cause Work Nicer serious and irreparable harm which might not be adequately compensated by damages, and that Work Nicer may apply for an injunction to restrain you from further breaches in addition to exercising any other remedy it may have if you breach the above. Any dispute or claim you may allege with or against us will not be a defence to us enforcing these non-solicitation provisions.

16. Insurance & Property

As a Member and user of Work Nicer, you must protect your own stuff! You are required to carry an appropriate insurance policy to cover your own equipment, property, proprietary information, personnel, and all-around general liability while using the Services and Outposts, as well as any other insurance deemed necessary or desirable. We are not an insurer or protector of your property so, if you lose something, it gets damaged, or stolen, you will have to replace or fix it. Any insurance Work Nicer may carry to protect our own property against loss from, for example, a break in at the Outpost, will not cover your property. Remember, any damage you cause to Work Nicer property or other members’ property is also your responsibility and cost, so you must get your own insurance. We suggest getting $2 million in comprehensive general liability insurance. As part of your agreement with us, you do have to get at least $750,000 in general liability insurance, naming Nicer Corporation as additional insured, and we can ask you to provide proof of such insurance coverage.

17. Photography, Quotation & Statement Release

To advance Work Nicer and its role in the community, we regularly use images, quotations and statements regarding Work Nicer programs, facilities, and members to feature in marketing and promotional materials (collectively, “Promotional Material”). Any such Promotional Material may be used in print and electronic media for Work Nicer, including but not limited to Work Nicer’s website, newsletters, press releases, brochures, and social media. Basically, we want to shout from the rooftops how proud we are to have you in the community!
By signing this Agreement, you give permission to Work Nicer to:
a) disclose that you are a member of Work Nicer;
b) during the period of your membership, display your trade indicia (in accordance with any brand guidelines that you provide to Work Nicer) on Work Nicer’s website and social media accounts;
c) take photographs of your team and their work areas and to post such photographs online including on social media, provided that Work Nicer shall ensure that such images do not contain any personally identifiable information about your customers or clients. Obviously, if you see a camera around and would prefer not to be photographed, please let the photographer know or excuse yourself before the flash goes off;
d) record and publish quotations or statements from your team members regarding Work Nicer. Such quotations or statements may be edited but will continue to reflect their original meaning. You understand that your team members’ names, qualifications, and your company may be identified or identifiable in Promotional Material published by Work Nicer. You hereby waive any claims against (including, without limitation, monetary claims, non-monetary claims, or any claim of moral rights in the Promotional Material); further, you release and discharge Work Nicer from any and all claims arising from or relating to Work Nicer’s use or publication of Promotional Material.

18. Limitation of Liability

a) The Work Nicer Parties do not assume any liability to you with respect to your use of the Services, or any loss of information or other property resulting therefrom. Basically, if you leave your things here and it disappears, we are not liable.
b) The Work Nicer Parties do not assume liability for damages or injuries to members, their clients or guests, or other parties that a Member may invite to Work Nicer. You agree to indemnify, defend, and hold Work Nicer Parties harmless from any and all claims of any nature whatsoever (including claims relating to breaches of contract, tortious, equitable, or other theory of liability) that are or may be made against Work Nicer as a result of your, your guests’, and your personnel’s actions and conduct.
c) Limitation of Liability. In addition to the above, the aggregate liability of any of the Work Nicer Parties to you and your employees, agents, guests and invitees for any reason and for all causes of action, whether in contract, tort, breach of statutory duty, or other legal or equitable theory will not exceed the total amounts paid by you to us under this Agreement in the previous six (6) months prior to the claim arising. In no event whatsoever will any of the Work Nicer Parties be liable under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits, loss of use, or business interruption, or for the cost of any substitute goods, services or technology.

19. Disclaimer

a) WORK NICER PROVIDES SERVICES “AS IS” AS A SERVICE AND NOT AS A LEASE OF REAL PROPERTY, AND DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, TO THE EXTENT PERMITTED BY LAW. THERE IS NO WARRANTY OF TITLE, QUIET ENJOYMENT OR POSSESSION. THE ENTIRE RISK OF PARTICIPATION IN OR USING NICER CORPORATION SERVICES REMAINS WITH YOU.
b) IN NO EVENT WILL THE WORK NICER PARTIES BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOSS OF CONFIDENTIAL INFORMATION OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING GOOD FAITH OR REASONABLE CARE), NEGLIGENCE, AND ANY OTHER LOSS ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF SERVICES OR OTHERWISE, EXCEPT IF AND ONLY TO THE EXTENT THAT SUCH DAMAGES ARE CAUSED BY WORK NICER’S WILLFUL MISCONDUCT OR FRAUD. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES TO OR CAUSED BY PETS, DAMAGES CAUSED BY OTHER MEMBERS TO YOU, AND DAMAGES YOU MAY INCUR BY USING OR ACCESSING THIRD PARTY PRODUCTS AND SERVICES.

20. Indemnification

In addition to all CAPITALIZED under Disclaimer above, you also release, and agree to indemnify, defend and save harmless the Work Nicer Parties from and against all claims, including third party claims, liabilities, losses, damages, expenses, judgments, fines and penalties, and legal costs on a solicitor-own- client full indemnity basis, based on or arising out or your negligent actions, errors and omissions, willful misconduct or fraud, breach or violation of this Agreement, or otherwise suffered in connection with your participation in Work Nicer or use of the Services. You are responsible and accountable for your, your guests’, and your personnel’s actions and conduct.

21. No Assignment/Consent to Jurisdiction/Survival and Severability

This Agreement will operate to the benefit of and is binding on your successors, for example, if you restructure your business or corporation. You can’t assign this Agreement without the prior written consent of Work Nicer. We all agree that the law of the great Province of Alberta governs this Agreement. And we further agree that the exclusive jurisdiction and venue for all purposes under this Agreement shall be in Calgary, Alberta, Canada and everybody consents to such jurisdiction and venue. All provisions of this Agreement that logically ought to survive termination or expiry of this Agreement shall survive. Finally, in the highly unlikely event that any provision or portion of this Agreement is found to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall be unaffected and shall remain in full force and effect to the fullest extent permitted by law.

22. Updates to Terms of Use

You understand that these Terms of Use may be updated from time to time with notice to you and will be available on the Work Nicer website or in the Work Nicer app. We will notify members in accordance with the notice provisions in Section 23 of this Agreement using the contact information you provide, and other means.

23. Notices

Any notices under this Agreement shall be delivered in person or by email at the addresses Work Nicer and you list in the Work Nicer app. You must keep your addresses updated in the Work Nicer app. Any notice shall be considered delivered upon the date delivered in person or sent via email.
